Terms of Service

1 Acceptance of Terms

By accessing or using Layerhouse (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you and Layerhouse LLC (“Layerhouse”, “we”, “us”, or “our”). Please read them carefully.

These Terms work alongside our other legal documents:

2 Eligibility

To use Layerhouse, you must:

  • Be at least 13 years of age
  • Be at least 18 years of age to purchase a subscription or receive artist payouts
  • Have the legal capacity to enter into these Terms
  • Not be prohibited from using the Platform under applicable law

Users between 13 and 18 may use the free features of the Platform with parental or guardian consent. Subscription purchases and artist payouts require users to be 18 or older.

3 Your Account

3.1 Account Creation

You must create an account to download tracks, manage subscriptions, or apply as an artist. You agree to provide accurate, current, and complete information during registration.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately at support@layerhouse.io if you suspect unauthorized access.

3.3 One Account Per Person

Each individual may maintain only one Layerhouse account. Creating multiple accounts to circumvent download limits, abuse free trials, or manipulate royalty calculations is prohibited and grounds for termination.

4Subscriptions & Billing

4.1 Subscription Plans

Layerhouse offers three tiers:

  • Free — 5 downloads per month (MP3 only), personal use, attribution required
  • Creator — Unlimited downloads, YouTube/podcasts/social/games, no attribution
  • Pro — Everything in Creator plus commercial, client work, film, broadcast, stems

4.2 Billing & Renewal

Paid subscriptions are billed in advance on a monthly or annual basis. Subscriptions renew automatically at the end of each billing period unless cancelled. Annual plans are billed as a single payment at the start of each year.

4.3 Price Changes

We may change subscription prices with at least 30 days’ notice. Price changes take effect at the start of your next billing period. If you do not agree to a price change, you may cancel before the new price takes effect.

4.4 Cancellation & Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you retain access until then. We do not offer prorated refunds for partial billing periods.

Important: Tracks you downloaded and used in published content remain licensed forever after cancellation. See the User License Agreement for full details.

4.5 Payment Processing

Payments are processed securely by Stripe. Layerhouse does not store credit card numbers or payment credentials. By subscribing, you also agree to Stripe’s terms of service.

5 Music Licensing

Your right to use music downloaded from Layerhouse is governed by the separate User License Agreement. These Terms of Service govern your use of the Platform itself; the License Agreement governs your use of the music.

  • Each download generates a license record in your account
  • License type corresponds to your subscription plan at the time of download
  • Licenses for published content survive subscription cancellation

6 Acceptable Use

You agree to use Layerhouse only for lawful purposes and in accordance with these Terms.

6.1 Prohibited Conduct

You may not:

  • ×Scrape, crawl, or use automated tools to bulk-download tracks or extract data
  • ×Attempt to circumvent download limits, access controls, or DRM
  • ×Share account credentials or allow others to use your account
  • ×Impersonate another person or entity
  • ×Upload malware, viruses, or other harmful code
  • ×Interfere with the Platform’s operation, servers, or networks
  • ×Use the Platform to send spam, phishing messages, or unsolicited communications
  • ×Reverse-engineer, decompile, or disassemble the Platform
  • ×Use the Platform in any way that violates applicable law

6.2 Enforcement

We may suspend or terminate accounts that violate these Terms. We reserve the right to remove content and restrict access at our sole discretion. Serious violations may be reported to law enforcement.

7 Intellectual Property

7.1 Platform Content

The Layerhouse platform — including its design, code, branding, text, graphics, and user interface — is owned by Layerhouse LLC and protected by copyright, trademark, and other intellectual property laws.

7.2 Music Catalog

All tracks on the Platform are original works owned by the artists who created them. Layerhouse holds a non-exclusive license from each artist to distribute tracks to Platform users under the terms of the User License Agreement.

7.3 Trademarks

“Layerhouse”, the Layerhouse logo, and “Music for Creators” are trademarks of Layerhouse LLC. You may not use our trademarks without prior written consent, except for factual references to the service (e.g., crediting “Music via Layerhouse” as required under Free plan attribution).

8 Artist Terms

Artists who upload music to Layerhouse are subject to the Artist Upload Agreement in addition to these Terms.

  • Artists retain ownership of their music
  • Artists grant Layerhouse a non-exclusive license to distribute their tracks
  • Revenue is shared via the royalty pool model described in the Artist Upload Agreement
  • Artists must confirm they have the rights to all music they upload
  • Layerhouse may remove tracks that violate our content guidelines

9 User Content

9.1 Your Creative Work

You retain full ownership of all creative content you produce using tracks from Layerhouse. We claim no rights over your videos, podcasts, games, films, or other works.

9.2 Feedback & Suggestions

If you provide feedback, suggestions, or ideas about the Platform, you grant Layerhouse a non-exclusive, perpetual, irrevocable, royalty-free license to use, modify, and implement that feedback without obligation to you.

10 Platform Availability

We strive to maintain the Platform’s availability but do not guarantee uninterrupted access.

  • We may perform scheduled maintenance with reasonable advance notice
  • Unplanned outages may occur due to technical issues beyond our control
  • We may modify, suspend, or discontinue features with reasonable notice
  • We are not liable for any downtime or service interruption

11 Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. LAYERHOUSE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

12 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LAYERHOUSE’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO LAYERHOUSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100). IN NO EVENT SHALL LAYERHOUSE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

13 Indemnification

You agree to indemnify, defend, and hold harmless Layerhouse, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Platform in violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Content you create using tracks from the Platform
  • Your breach of the User License Agreement

14 Termination

14.1 By You

You may close your account at any time from your account settings or by contacting support@layerhouse.io. Closing your account cancels your subscription and removes your personal data as described in our Privacy Policy.

14.2 By Layerhouse

We may suspend or terminate your account if you materially breach these Terms and fail to cure the breach within 14 days of written notice. We may terminate immediately for severe violations (e.g., uploading malicious content, systematic abuse).

14.3 Effect of Termination

Upon termination:

  • Your right to access the Platform ends immediately
  • Your right to download new tracks ends immediately
  • Perpetual licenses for tracks used in published content survive termination
  • Sections 7 (IP), 11 (Warranties), 12 (Liability), 13 (Indemnification), and 15 (Disputes) survive termination

15 Dispute Resolution

15.1 Informal Resolution First

Before filing any formal claim, you agree to contact us at legal@layerhouse.io and attempt to resolve the dispute informally for at least 30 days.

15.2 Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration in Harris County, Texas, under the rules of the American Arbitration Association. Either party may seek injunctive relief in court for intellectual property violations.

15.3 Class Action Waiver

Class Action Waiver: You agree to resolve disputes with Layerhouse on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding. This waiver applies to claims in arbitration and in court.

15.4 Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles.

16 Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Email notification to your registered email address
  • A prominent notice on the Platform at least 30 days before changes take effect
  • Updating the “Last Updated” date at the top of this page

Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you disagree with the changes, you may close your account before they take effect.

17 General

Entire Agreement: These Terms, together with the User License Agreement, Artist Upload Agreement, and Privacy Policy, constitute the entire agreement between you and Layerhouse.

Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.

No Waiver: Our failure to enforce any provision does not waive our right to do so in the future.

Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, pandemics, war, government action, or internet outages.

Headings: Section headings are for convenience only and do not affect interpretation.
